The following are terms and conditions of the 12 Days of Giveaways by Trellus (“Promotion”). Entrants to the contest are “Participants,” and local businesses providing the giveaway prizes are “Merchants.”

Promotion Terms and Conditions:

1. No purchase is necessary to enter the Promotion, which will operate as a daily prize raffle.
2. This Promotion is open to residents of the United States, aged 18 years or over. Participants are eligible to win a prize if:
   a.) They confirm their physical address in Trellus’ current (December 2021) delivery service area of Long Island and Queens.
   b.) They confirm a physical address of a friend/family member in Trellus’ current delivery service area.
   c.) Provide their phone number for the purpose of delivery confirmation.
3. The Promotion will begin Dec. 12 and run each day through Dec. 23. Prizes will be delivered in person by a Trellus Delivery Driver each day from Dec. 13-24. 
4. No prizes will be mailed or shipped by third-party. Proof of delivery will be provided to Merchants and by entering, Participants agree to be notified of delivery via the Trellus technology platform. 
5. Employees of Trellus Inc., affiliates, or other parties in any way involved in the development, production, or distribution of this Promotion, as well as the immediate family (spouse, parents, siblings, children) and household members of each such employee and/or authors, are not eligible to participate in the Promotion.
6. Trellus Inc. accepts no responsibility for any entries that are incorrectly tagged/shared or fail to reach Trellus by the relevant closing date/time for any reason. Proof of tagging/sharing is not proof of Promotion entry. Entries via agents or third parties are invalid.
7. To enter once, Participants must:
   a.) like the Instagram post featuring the prize
   b.) follow Trellus’ Instagram @bytrellus
   c.) follow the featured Merchant of that particular prize
   d.) tag 3 friends in the post comments. 
8. Participants are eligible for a second entry into the drawing if they re-share that day’s prize post to their personal Instagram story and tag the Trellus Instagram account, so Trellus can see it and verify it.  

Prizes range in value from approx. $50 to $150 dollars.

Here is how the Promotion will operate: 

1. Trellus’ decision on a winner is final. Participants must engage with Trellus’ Instagram posts. No correspondence or direct messages with Participants will be counted as entries. 
2. The prizes are non-transferrable and no cash alternative will be offered.
3. Prizes have been predetermined by Trellus and participating Merchants. In the event of unforeseen circumstances, Trellus reserves the right:
   (a) to substitute alternative prizes of equivalent or greater value
   (b) in exceptional circumstances, to amend or foreclose the promotion without notice. No correspondence will be entered into.
4. Each day at 8 a.m., Trellus will post a new prize via our Instagram account @bytrellus. Participants will have all day to engage with the post and enter the Promotion. The Promotion window will close promptly at 11 p.m. EST and a randomized selection tool will be used to select a winner.
5. The winner of each drawing will be notified via Instagram direct message. The winner must confirm their physical address for prize delivery (or the address of a friend/family member) as well as their phone number, by 12 p.m. the day after they entered the Promotion for that prize. The winner must confirm this information by the designated time, with no exceptions, given Trellus’ Promotion parameters of same-day delivery. If the winner cannot confirm their information by the designated time, Trellus reserves the right to randomly draw a substitute winner in accordance with these rules. 
6. Trellus will use any data submitted by Participants only for the purposes of running the Promotion, unless otherwise stated in the entry details. By entering this Promotion, all Participants consent to the use of their personal data by Trellus for the purposes of the administration of this Promotion and any other purposes to which the Participant has consented.
7. This Promotion is in no way sponsored, endorsed or administered by, or associated with Instagram. By entering, Participants acknowledge that all information and material that they submit to enter this Promotion is submitted to Trellus and not Instagram, and they agree that Instagram shall not be liable to them in any way in respect of this Promotion.
8. The winners agree to take part in reasonable post-event publicity and to the use of their Instagram names in such publicity.
9. These terms and conditions are governed in accordance with the laws of New York State.
10. By entering the Promotion, each Participant agrees to be bound by these terms and conditions.
